Terms of Service

These Terms of Service ("Terms") govern your use of applications and services provided by Kernvel Labs ("we," "our," or "us"), including Kernvel AI Auction, Kernvel ListIQ, Kernvel GateIQ, Kernvel StockIQ, Kernvel ReturnsIQ, Kernvel Image SearchIQ, and Kernvel AppBuilder, and related Kernvel ecosystem services. By installing any app or using our services, you agree to these Terms.

1. Service Description

Kernvel Labs provides AI-powered Shopify applications, including but not limited to:

• Kernvel AI Auction: An auction management platform for Shopify stores featuring multiple auction types, AI-powered pricing, fraud detection, real-time bidding, and email marketing capabilities.
• Kernvel ListIQ: An AI-powered wishlist and demand-intelligence app with built-in email marketing and full conversion analytics for Shopify merchants.
• Kernvel GateIQ: A content-gating and membership platform with AI rule building, churn prediction, fraud detection, and server-side checkout enforcement via Shopify Functions.
• Kernvel StockIQ: An AI inventory-forecasting and demand-sensing platform with smart seasonal forecasts, real-world signal enrichment, and plain-English AI queries over your live store data.
• Kernvel ReturnsIQ: An AI returns and refunds platform that scores every return for fraud, verifies customer photos, predicts returns before they ship, and automates the right outcome — refund, store credit, or exchange.
• Kernvel Image SearchIQ: A visual-search and catalog-intelligence app that helps shoppers search by image and helps merchants understand demand from searches that do not convert.
• Kernvel AppBuilder: An AI-assisted mobile-commerce app builder that lets Shopify merchants configure and publish branded progressive web apps and, when the required merchant-owned accounts and credentials are connected, generate native iOS and Android applications. It includes configurable storefront layouts, search and shopping assistance, personalization, notifications, loyalty and engagement features, analytics, and release-readiness tooling.

Our services are provided as Software-as-a-Service (SaaS) through the Shopify App Store. Each app is billed and managed independently through Shopify's billing API.

2. Account Registration & Eligibility

• You must have an active Shopify store to use our applications.
• You must be at least 18 years of age or the age of majority in your jurisdiction.
• You are responsible for maintaining the security of your account credentials.
• You must provide accurate and complete information during registration.
• One Shopify store per app installation unless otherwise specified by your subscription plan.

3. Subscription & Billing

3.1 Plans & Pricing

Our applications offer tiered subscription plans as displayed on our pricing page. Prices are in USD and are subject to change with 30 days' advance notice.

3.2 Billing

• All billing is processed through Shopify's billing API.
• Subscriptions are billed monthly on a recurring basis.
• Free plans have no billing obligations but may have feature or usage limitations.

3.3 Auto-Renewal

Paid subscriptions automatically renew at the end of each billing period unless cancelled. You may cancel at any time through the Shopify admin or by contacting us.

3.4 Cancellation & Refunds

• You may cancel your subscription at any time by uninstalling the app from your Shopify admin.
• Cancellation takes effect at the end of the current billing period.
• We do not provide prorated refunds for partial months.
• Refund requests for extenuating circumstances will be considered on a case-by-case basis.

3.5 AppBuilder Usage Limits

AppBuilder plans may include finite limits for AI processing, builds, notifications, projects, or other metered features. Current limits are displayed in the application before use or upgrade. We may pause or reject work that exceeds a plan limit, safety control, provider limit, or reasonable-use threshold; a displayed limit is not a promise of uninterrupted third-party capacity.

4. AppBuilder Merchant Responsibilities

• You remain the merchant of record and are responsible for your products, pricing, taxes, fulfillment, returns, customer service, legal notices, consent collection, and compliance with Shopify, Apple, Google, and applicable law.
• You are responsible for reviewing all generated layouts, text, images, recommendations, notifications, translations, and store-listing material before publishing or sending them.
• You must have the rights to all brand assets, product content, media, trademarks, and other material supplied to or published through AppBuilder.
• Native releases require eligible merchant-owned Apple Developer, App Store Connect, Google Play, signing, and push-notification accounts or credentials. You are responsible for maintaining those accounts, accepting their agreements, paying their fees, and keeping credentials accurate and authorized.
• Apple, Google, Shopify, and other platforms independently control their review criteria, timelines, approvals, suspensions, and removals. AppBuilder can provide readiness checks and build assistance, but Kernvel Labs does not guarantee approval, publication, ranking, availability, or a particular review time.
• Storefront purchases are completed through Shopify checkout or another clearly disclosed merchant-controlled destination. Kernvel Labs is not the seller and does not independently capture shopper payment-card details.

5. Acceptable Use

You agree not to:

• Use our services for any illegal or unauthorized purpose
• Manipulate auctions through shill bidding, fake accounts, or artificial bid inflation
• Attempt to reverse-engineer, decompile, or extract source code from our applications
• Interfere with or disrupt the integrity of our services or servers
• Use automated tools to scrape, crawl, or collect data from our platform
• Resell, sublicense, or redistribute our services without authorization
• Violate any applicable laws, regulations, or Shopify's terms of service
• Transmit malicious code, spam, or harmful content through our platform

We reserve the right to suspend or terminate accounts that violate these terms without notice.

6. Intellectual Property

• All code, designs, AI models, algorithms, and content comprising our applications are owned by Kernvel Labs and protected by intellectual property laws.
• Your subscription grants you a limited, non-exclusive, non-transferable license to use our applications for their intended purpose.
• You retain ownership of your store data, product information, and customer data.
• By using our AI features, you grant us a license to process your data as described in our Privacy Policy for the purpose of providing and improving our services.

7. Data & Privacy

Your use of our services is also governed by our Privacy Policy, which describes how we collect, use, and protect your data. By using our services, you consent to the data practices described therein.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• Our services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied.
• We do not guarantee that our services will be uninterrupted, error-free, or completely secure.
• We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services.
• Our total liability for any claim arising from these Terms shall not exceed the amount you paid us in the 12 months preceding the claim.
• We are not responsible for losses resulting from auction outcomes, bidder behavior, or third-party actions.
• AI-generated suggestions (pricing, fraud scores, recommendations) are advisory only. You are responsible for final decisions regarding your auctions.
• AI-generated AppBuilder content, configurations, and release suggestions may be incomplete or inaccurate and must be reviewed by the merchant before use.
• We are not responsible for a third-party platform's rejection, delay, suspension, policy change, outage, ranking decision, or removal of a generated application.

9. Indemnification

You agree to indemnify, defend, and hold harmless Kernvel Labs and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorney's fees) arising from:

• Your use of our services
• Your violation of these Terms
• Your violation of any applicable law or third-party rights
• Auction disputes between you and your customers

10. Termination

• By you: You may terminate at any time by uninstalling the app from your Shopify store.
• By us: We may suspend or terminate your access at any time for violation of these Terms, non-payment, or at our discretion with reasonable notice.
• Effect of termination: Upon termination, your right to use the service ceases immediately. We will delete your data in accordance with our Privacy Policy.
• Survival: Sections relating to intellectual property, limitation of liability, indemnification, and governing law survive termination.

11. Modifications to Service

We reserve the right to modify, suspend, or discontinue any part of our services at any time. We will provide reasonable notice for material changes. Continued use after modifications constitutes acceptance.

12. Governing Law & Disputes

• These Terms are governed by and construed in accordance with the laws of India, without regard to conflict of law principles.
• Any disputes arising from or relating to these Terms shall be resolved through binding arbitration conducted in accordance with the Arbitration and Conciliation Act, 1996.
• Subject to the above, the courts of India shall have exclusive jurisdiction over any matter arising from these Terms.

13. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

14. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Kernvel Labs regarding the use of our services.
