These Terms of Service ("Terms") govern your use of applications and services provided by Kernvel Labs ("we," "our," or "us"), including AuctionAI and any future products. By installing our apps or using our services, you agree to these Terms.

1. Service Description

Kernvel Labs provides AI-powered Shopify applications, including but not limited to:

• AuctionAI: An auction management platform for Shopify stores featuring multiple auction types, AI-powered pricing, fraud detection, real-time bidding, and email marketing capabilities.

Our services are provided as Software-as-a-Service (SaaS) through the Shopify App Store and are designed to integrate with your Shopify store.

2. Account Registration & Eligibility

• You must have an active Shopify store to use our applications.
• You must be at least 18 years of age or the age of majority in your jurisdiction.
• You are responsible for maintaining the security of your account credentials.
• You must provide accurate and complete information during registration.
• One Shopify store per app installation unless otherwise specified by your subscription plan.

3. Subscription & Billing

3.1 Plans & Pricing

Our applications offer tiered subscription plans as displayed on our pricing page. Prices are in USD and are subject to change with 30 days' advance notice.

3.2 Billing

• All billing is processed through Shopify's billing API.
• Subscriptions are billed monthly on a recurring basis.
• Free plans have no billing obligations but may have feature or usage limitations.

3.3 Auto-Renewal

Paid subscriptions automatically renew at the end of each billing period unless cancelled. You may cancel at any time through the Shopify admin or by contacting us.

3.4 Cancellation & Refunds

• You may cancel your subscription at any time by uninstalling the app from your Shopify admin.
• Cancellation takes effect at the end of the current billing period.
• We do not provide prorated refunds for partial months.
• Refund requests for extenuating circumstances will be considered on a case-by-case basis.

4. Acceptable Use

You agree not to:

• Use our services for any illegal or unauthorized purpose
• Manipulate auctions through shill bidding, fake accounts, or artificial bid inflation
• Attempt to reverse-engineer, decompile, or extract source code from our applications
• Interfere with or disrupt the integrity of our services or servers
• Use automated tools to scrape, crawl, or collect data from our platform
• Resell, sublicense, or redistribute our services without authorization
• Violate any applicable laws, regulations, or Shopify's terms of service
• Transmit malicious code, spam, or harmful content through our platform

We reserve the right to suspend or terminate accounts that violate these terms without notice.

5. Intellectual Property

• All code, designs, AI models, algorithms, and content comprising our applications are owned by Kernvel Labs and protected by intellectual property laws.
• Your subscription grants you a limited, non-exclusive, non-transferable license to use our applications for their intended purpose.
• You retain ownership of your store data, product information, and customer data.
• By using our AI features, you grant us a license to process your data as described in our Privacy Policy for the purpose of providing and improving our services.

6. Data & Privacy

Your use of our services is also governed by our Privacy Policy, which describes how we collect, use, and protect your data. By using our services, you consent to the data practices described therein.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• Our services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied.
• We do not guarantee that our services will be uninterrupted, error-free, or completely secure.
• We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services.
• Our total liability for any claim arising from these Terms shall not exceed the amount you paid us in the 12 months preceding the claim.
• We are not responsible for losses resulting from auction outcomes, bidder behavior, or third-party actions.
• AI-generated suggestions (pricing, fraud scores, recommendations) are advisory only. You are responsible for final decisions regarding your auctions.

8. Indemnification

You agree to indemnify, defend, and hold harmless Kernvel Labs and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorney's fees) arising from:

• Your use of our services
• Your violation of these Terms
• Your violation of any applicable law or third-party rights
• Auction disputes between you and your customers

9. Termination

• By you: You may terminate at any time by uninstalling the app from your Shopify store.
• By us: We may suspend or terminate your access at any time for violation of these Terms, non-payment, or at our discretion with reasonable notice.
• Effect of termination: Upon termination, your right to use the service ceases immediately. We will delete your data in accordance with our Privacy Policy.
• Survival: Sections relating to intellectual property, limitation of liability, indemnification, and governing law survive termination.

10. Modifications to Service

We reserve the right to modify, suspend, or discontinue any part of our services at any time. We will provide reasonable notice for material changes. Continued use after modifications constitutes acceptance.

11. Governing Law & Disputes

• These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.
• Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
• You waive the right to participate in class action lawsuits or class-wide arbitration.

12. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

13. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Kernvel Labs regarding the use of our services.
